These Terms apply when you use Gorewada.com, contact us, request a proposal, or engage Gorewada Digital Marketing for services. A signed proposal, statement of work, invoice, or written agreement may include additional terms for a specific project.
1. Services
Gorewada Digital Marketing provides paid advertising services, website development, web app development, mobile app development support, landing pages, SEO support, analytics, AI deployment, OpenClaw and agents deployment, and related consulting. We also build and operate products such as UdyamQR.com and BioMatrimony.com, which may have their own terms.
2. Proposals, scope and changes
Project scope, timelines, deliverables, pricing, payment schedules, and responsibilities should be confirmed in writing. Work outside the agreed scope may require a separate estimate, change request, or written approval.
3. Client responsibilities
You agree to provide accurate information, timely feedback, required approvals, access credentials, brand assets, content, business data, and legal permissions needed to complete the work. Delays in providing these items may affect project timelines.
4. Paid advertising and third-party platforms
Advertising results depend on market conditions, budget, offer quality, tracking setup, landing pages, platform policies, competition, and customer demand. We do not guarantee a specific number of leads, sales, rankings, approvals, revenue, return on ad spend, or platform account outcomes.
You remain responsible for complying with advertising platform rules, industry regulations, claims made in ads, product/service eligibility, and any account-level policies from Google, Meta, TikTok, Snapchat, X, LinkedIn, and other platforms.
5. Website, app and software development
Unless otherwise agreed, developed work may depend on third-party hosting, domains, APIs, themes, plugins, payment gateways, analytics tools, AI providers, and other services. We are not responsible for outages, policy changes, security incidents, or pricing changes caused by third-party providers.
After delivery, ongoing maintenance, updates, backups, monitoring, security hardening, support, and feature changes require a separate maintenance or support arrangement unless included in the project scope.
6. AI deployment, OpenClaw and agents
AI systems and agents can produce incorrect, incomplete, unexpected, or unsafe outputs if not properly reviewed. You are responsible for deciding where human review, approval flows, permissions, data access limits, and operational controls are required.
For AI deployments, you must only provide data, files, tools, systems, API keys, and user permissions that you are authorized to use. AI agents should not be treated as a replacement for professional judgment in legal, financial, medical, safety-critical, or regulated decisions.
7. Fees and payments
Fees, taxes, payment dates, refund terms, and ad spend responsibilities will be described in the relevant proposal, invoice, or agreement. Unless stated otherwise, advertising spend, platform fees, hosting, domains, licenses, subscriptions, and third-party costs are separate from Gorewada service fees.
8. Intellectual property
After full payment, you may use final deliverables created specifically for your project, subject to any third-party licenses and agreed restrictions. Gorewada may retain ownership of pre-existing tools, frameworks, templates, reusable code, processes, know-how, and internal systems used to deliver services.
9. Confidentiality
We will use reasonable care to protect confidential business information shared for a project. Confidentiality obligations do not apply to information that is public, already known, independently developed, or required to be disclosed by law.
10. Acceptable use
You must not use our website, services, AI deployments, or project outputs for unlawful activity, deceptive advertising, malware, spam, harassment, infringement, unauthorized data access, or any activity that violates applicable platform or provider policies.
11. No warranties
Services and website content are provided on an "as is" and "as available" basis unless a written agreement states otherwise. We disclaim warranties of uninterrupted availability, error-free operation, specific commercial outcomes, or fitness for a particular purpose to the extent permitted by law.
12. Limitation of liability
To the extent permitted by law, Gorewada Digital Marketing will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages arising from use of the website or services. Any direct liability will be limited to the amount paid to Gorewada for the specific service giving rise to the claim, unless a written agreement states otherwise.
